The role of the company secretary (“CoSec”) in Malaysia has largely been viewed from a compliance lens that is limited to preparing Board Resolution, being a secretariat, etc. However, this role has undergone significant transformations, reflecting broader shifts in corporate governance and regulatory landscapes.
The Evolution to a Strategic Advisor
Traditionally focused on compliance, the roles of CoSec are increasingly turning to serve as strategic advisors to the Board of Directors. This expanded role allows the Board of Directors to make informed decisions and ensure regulatory compliance.
Recent amendments have been made to the Main and ACE Markets listing requirements by Bursa Malaysia Securities Berhad effective February 26, 2025. These changes provide a significant shift in business direction and policies for listed corporations, emphasizing the necessity for CoSec in an organization.
CoSec are also governed by Section 235 of the Companies Act 2016 and are under professional bodies including the Malaysian Association of Company Secretaries (MACS), the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA), and others.
